Summary of Position: Seeking an experienced transactional attorney to serve as the lead counsel supporting the purchase and sale of renewable energy projects and related assets for Borregos project development business. The successful candidate will have the knowledge, skills, character and solutions-oriented approach to advise the companys project developers and project finance professionals regarding the acquisition and disposition of development assets. The position will be based in Lowell, Massachusetts, Latham, New York or Oakland, California.

Position Responsibilities will include but not be limited to:

  • Advise project finance professionals on structuring transactions to acquire and dispose of renewable energy assets.
  • Draft and negotiate membership interest purchase agreements (MIPAs), asset purchase agreements (APAs) and ancillary documents for the acquisition and disposition of renewable energy projects and related assets developed by Borrego.
  • Advise project finance professionals on legal issues arising during due diligence for the purchase and sale of development assets, as well as on matters relating to the closing of such transactions.
  • Identify and implement measures to improve the quality and efficiency of the companys processes relating to due diligence, negotiation and closing of purchase and sale transactions.
  • Work closely with internal stakeholders, including development, project finance, and real estate counsel, to facilitate continuous improvements to contracting processes and tools, including a suite of regularly updated template documents and standard operating procedures.
  • Supervise outside counsel as necessary.
  • Performs other duties as assigned.
  • Required Skills and Experience:

  • Law degree and strong academic record from a leading ABA accredited law school.
  • At least 5 years of substantial, relevant legal experience at a top-tier law firm, sophisticated corporate legal department or combination of the two.
  • Refined business acumen and the ability to identify and implement practical solutions to complex business and legal problems.
  • Hardworking, responsive and adaptable to what the situation dictates, including possessing the diligence to advance matters independently, combined with the strong interpersonal skills to work effectively in a team.
  • Excellent organizational and time management skills
  • Extensive experience drafting purchase and sale agreements for renewable energy projects.
  • Passion for accelerating the adoption of renewable energy
  • Licensed to practice law in Massachusetts or California, as applicable.
