This role in particular requires ahighly-motivated, energetic, and business-savvy in-house attorney to providelegal counsel to Xeroxs Americas group on all areas related to Xeroxs customersand partners in North America.
The successful candidate will be based in Norwalk, CT orWebster, NY, but there will be flexibility to work out of the Companys otheroffices in the New York metro area.
Draft, review and negotiate a myriad of agreements tosupport the Americas division of the business including
oCustomer agreements (sales and services agreements, leaseagreements, outsourcing agreements, managed services agreements, and consultingagreements) for the provision of equipment, software, managed services and otherproducts,
oAgreements to obtain products and services from thirdparties to incorporate into solutions for customers,
oVendor and subcontractor agreements,
oAssist in drafting responses to customer Requests forProposal (RFPs), andConfidentiality, HIPAA and data privacy/securityagreements.
Review, provide counsel and negotiate transactionaldocuments for the provision of software, services and hardware (e.g. Statementsof Work).
Prepare and deliver training materials to educate and supportclients.
Provide counsel regarding strategic, marketing andservice issues including counsel to strengthen relationships with customers,vendors and subcontractors.
Work effectively with internal departments, e.g. supplychain, global procurement, accounting, finance, etc., to ensure properexecution of contracts and subcontracts and compliance with Xerox policies.
Assist in avoidance of and resolution of disputes withcustomers and vendors.
Investigate ethics and other workplace human resourcesissues.
Coordinate policies and strategies of the clients withother operating units to ensure consistency with corporate policies/initiativesand regulatory requirements.
Respond to subpoenas and attorney correspondence.

Minimum of five years experience as an attorney practicing in a major law firms commercial law department or corporate in-house department focused on negotiating and drafting commercial contracts.
Strong depth of legal knowledge in contract law, software licensing and leasing that allows for expeditious identification and resolution.
Keen business sense, with the ability to find creative, practical business-oriented solutions to legal and contractual issues.
Experience addressing data privacy/security matters and counseling clients in managed services sector is a plus.
Global/cross-border contracting experience preferred, but not required.
Willingness to travel, as necessary, for contract negotiations.
Exemplary analytical and interpretation skills; strong legal research, drafting and organizational skills; excellent (verbal and written) communications and interpersonal skills.
High professional ethics; good judgment; initiative; the ability to take independent and decisive action; the flexibility to prioritize and handle multiple tasks on competing deadlines; and a facility for working closely and cooperatively with business people, all levels of management, and other staff members.
Juris Doctorate degree from a nationally accredited law school.
Admission in good standing in the New York or Connecticut State bar, as applicable.
